AudiencePoint Broadcast Terms of Service

These Broadcast Terms of Service (“Terms”) govern your use of AudiencePoint’s broadcasting services, including but not limited to email broadcasts, SMS messaging, and social media postings (collectively, the “Broadcast Services”) provided by AudiencePoint, Inc. (“AudiencePoint”). By using the Broadcast Services, you agree to these Terms, our Privacy Policy, and our General Terms and Conditions as they apply to your use of our services.

2. Service Description

AudiencePoint’s Broadcast Services allow you to distribute content through various communication channels to effectively reach your target audience. These services may include tools for campaign creation, audience segmentation, delivery scheduling, analytics, and performance tracking.

3. User Responsibilities

  • Account Registration: You must maintain an active account with AudiencePoint to access the Broadcast Services. Accurate and complete account information is essential for effective service provision.
  • Lawful Use: You are responsible for ensuring that your use of the Broadcast Services adheres to all applicable local, national, and international laws and regulations. This includes, but is not limited to, compliance with anti-spam laws and regulations concerning data privacy and electronic communications.
  • Content Standards: You agree not to send or distribute content that is illegal, obscene, threatening, defamatory, or invasive of privacy through the Broadcast Services. AudiencePoint reserves the right to review and, if necessary, remove any content distributed through its services that it deems in violation of these Terms.

4. Fees and Payment

  • Subscription Fees: Fees for the Broadcast Services are based on the subscription plan you select and are due at the beginning of each billing cycle. AudiencePoint provides details of these fees on the Broadcast Services webpage or as part of the subscription agreement.
  • Non-Payment: Failure to settle fees may result in the suspension or termination of your access to the Broadcast Services.

5. Intellectual Property

  • Your Content: You retain all rights to your content transmitted through the Broadcast Services. However, by using the Services, you grant AudiencePoint a worldwide, non-exclusive right to use, reproduce, and distribute your content as necessary to provide the Services.
  • Service Ownership: All rights, title, and interest in the Broadcast Services, including all related intellectual property rights, are owned by AudiencePoint.

6. Termination and Suspension

  • By AudiencePoint: AudiencePoint may suspend or terminate your use of the Broadcast Services for any breach of these Terms without notice.
  • By You: You may terminate your use of the Broadcast Services at any time by notifying AudiencePoint according to the terms specified in your subscription agreement.

7. Disclaimers

AudiencePoint provides the Broadcast Services on an “as is” and “as available” basis. AudiencePoint does not guarantee that the Services will be uninterrupted or error-free and disclaims all warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability

AudiencePoint will not be liable for any indirect, special, incidental, consequential, or punitive damages arising out of or related to your use of the Broadcast Services.

9. Amendments to Terms

AudiencePoint reserves the right to amend these Terms at any time. Your continued use of the Broadcast Services after any such changes constitutes your acceptance of the new Terms.
